Intellectual Property Clause for Social Media Management and Content Creation Agency

Ownership of Content: All original content, including but not limited to graphics, images, videos, captions, and written copy, created by Stories and Studios ("Agency") as part of the social media management and content creation services provided to the Client, shall remain the intellectual property of Stories and Studios, unless otherwise agreed upon in writing.
License to Client: Stories and Studios grants the Client a non-exclusive, non-transferable license to use the content created for the specific social media channels and purposes outlined in the agreement between Stories and Studios and the Client. This license is granted solely for the duration of the Client's engagement with Stories and Studios and is subject to full compliance with the terms of the agreement.
Prohibited Use: The Client shall not modify, reproduce, distribute, display, or publish the content created by Stories and Studios for any purposes other than those explicitly agreed upon in the contract between the parties, without the prior written consent of Stories and Studios.
Third-Party Rights: Stories and Studios shall ensure that the content created does not infringe upon the intellectual property rights of any third party. In the event that the Client provides materials or requests content that infringes upon third-party rights, the Client shall indemnify and hold Stories and Studios harmless from any resulting claims, damages, or liabilities.
Client-Owned Materials: Any materials provided by the Client for use in social media management and content creation, including logos, branding assets, and pre-existing content, shall remain the intellectual property of the Client.
Confidentiality: Both parties agree to treat any confidential information exchanged during the course of the engagement as confidential and to take all necessary precautions to prevent its unauthorized disclosure or use.
Transfer of Rights: Upon termination of the engagement between Stories and Studios and the Client, the Client shall have the option to purchase the full ownership rights to the content created by Stories and Studios for an agreed-upon fee. If the Client chooses not to purchase the rights, Stories and Studios may retain ownership and reuse the content for other purposes.
Governing Law: This Intellectual Property Clause shall be governed by and construed in accordance with the laws of [Jurisdiction], and any disputes arising out of or in connection with this clause shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
By agreeing to engage Stories and Studios' services, the Client acknowledges and agrees to abide by the terms of this Intellectual Property Clause.
